Terms of Use

These Terms of Use (the "Terms") form a binding agreement between you and Mosaic Singularity Inc., a corporation incorporated under the Canada Business Corporations Act with its principal place of business at 201 King Street, London, Ontario, N6A 1C9, Canada ("Mosaic Singularity," "we," "us," or "our"). The Terms govern your access to and use of www.mosaicsingularity.com and any subdomains, pages, content, and features made available on or through that site (collectively, the "Site").

Please read the Terms carefully. By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by them. If you do not agree, do not access or use the Site.

The Site is a marketing presence. Use of the Heart Beat Agents platform, where applicable, is governed by a separate Master Service Agreement executed between Mosaic Singularity Inc. and a customer organization. Nothing on the Site grants you any right or license to use the Heart Beat Agents platform.

1. Definitions

The following capitalized terms have the meanings set out below:

  • "Affiliate" means any entity that controls, is controlled by, or is under common control with a party.
  • "Content" means all text, graphics, photographs, video, audio, software, code, designs, layouts, and other materials made available on or through the Site, including the Marks.
  • "Heart Beat Agents" or "Platform" means the self-hosted autonomous agent platform offered by Mosaic Singularity, governed by a separate written agreement.
  • "Marks" means the Mosaic Singularity name, the Heart Beat Agents name, and all logos, trade names, trademarks, service marks, and trade dress of Mosaic Singularity Inc., whether registered or unregistered.
  • "Submission" means any information, communication, or content that you transmit to us through the Site, including via the contact, demo, or partner intake forms.
  • "User", "you," and "your" mean any individual or organization that accesses or uses the Site.

2. Eligibility

You may use the Site only if you are at least 18 years of age and have the legal capacity to enter into these Terms. If you access or use the Site on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms, in which case "you" and "your" refer to that organization. The Site is not directed to children under 18, and we do not knowingly collect personal information from anyone under that age.

3. Permitted Use

Subject to your compliance with these Terms, Mosaic Singularity grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and view the Site for your personal or internal business informational purposes. All other rights are reserved.

4. Prohibited Conduct

You agree not to, and not to permit any third party acting on your behalf to:

  • use the Site in violation of any applicable law, regulation, sanction, or order;
  • copy, reproduce, modify, distribute, publicly display, or create derivative works of any Content except as expressly permitted by these Terms;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, or trade secrets embedded in or associated with the Site;
  • use any robot, spider, scraper, automated agent, or data-mining tool to access, collect, harvest, or index any portion of the Site, except as expressly permitted in writing or by our published robots.txt;
  • use the Site, the Content, or the Marks to train, fine-tune, evaluate, or otherwise develop any artificial intelligence model or system without our prior written consent;
  • attempt to gain unauthorized access to the Site, any related systems, or any user account, or interfere with the security or integrity of the Site;
  • impersonate Mosaic Singularity, any of its personnel, or any other person or entity, or misrepresent your affiliation;
  • transmit any virus, worm, malicious code, or other technically harmful material to or through the Site;
  • use the Site to send unsolicited commercial communications, conduct phishing or fraud, or engage in any other deceptive or abusive activity;
  • remove, obscure, or alter any proprietary notices on the Site or Content.

5. Intellectual Property

5.1 Ownership

The Site, the Content, and the Marks are owned by Mosaic Singularity Inc. or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws of Canada and other jurisdictions. Except for the limited license granted in Section 3, no rights in the Site, the Content, or the Marks are granted to you by these Terms or by your use of the Site, by implication, estoppel, or otherwise.

5.2 Trademarks

"Mosaic Singularity," "Heart Beat Agents," and the related logos and design elements are Marks of Mosaic Singularity Inc. All other trademarks appearing on the Site are the property of their respective owners. You may not use any Marks without our prior written consent.

5.3 Feedback

If you submit any suggestions, ideas, enhancement requests, or other feedback regarding the Site or any of our products or services ("Feedback"), you grant Mosaic Singularity a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable license to use, reproduce, modify, exploit, and incorporate the Feedback for any purpose, without compensation to you.

6. Submissions

When you submit information to us through a contact, demo, partner, or similar form on the Site, you represent and warrant that the information is accurate and that you have the right to provide it. We will handle Submissions in accordance with our Privacy Policy. We have no obligation to act on, store, or respond to any Submission.

7. Third-Party Sites and Resources

The Site may contain links to third-party websites, services, or resources that we do not own or control. We provide such links solely as a convenience and do not endorse the third parties or their content. Your use of any third-party site or resource is at your own risk and is subject to that party's terms and policies.

8. AI-Related Disclosures

Mosaic Singularity designs, builds, and operates artificial intelligence infrastructure. Descriptions of Heart Beat Agents and related capabilities on the Site are illustrative and forward-looking. They are not warranties of present functionality and do not give rise to any contractual obligation absent a separately executed written agreement. Outputs produced by artificial intelligence systems may contain inaccuracies, omissions, or biases and should not be relied upon as definitive without human review.

9. Privacy

Our collection, use, and disclosure of personal information through the Site is described in the Privacy Policy and Cookie Policy, each of which is incorporated into these Terms by reference.

10. DMCA and Copyright Notices

Mosaic Singularity respects the intellectual property rights of others and expects the same of its users. If you believe that material on the Site infringes a copyright you own or control, you may submit a notice that complies with the United States Digital Millennium Copyright Act (the "DMCA") by sending the following information to our designated agent at the address below:

  • an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
  • a description of the copyrighted work that you claim has been infringed;
  • a description of where on the Site the material that you claim is infringing is located, including the URL;
  • your address, telephone number, and email address;
  • a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
  • a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

11. Modifications to the Site and to These Terms

We may add, change, suspend, or discontinue any aspect of the Site at any time and without notice. We may also revise these Terms from time to time. The "Effective Date" at the top of this document indicates when the Terms were last revised. Material changes will be communicated through a banner on the Site or other prominent notice. Your continued use of the Site after the Effective Date of any revised Terms constitutes your acceptance of those revised Terms.

12. Suspension and Termination

We may, in our sole discretion and without prior notice or liability, suspend or terminate your access to all or part of the Site if we determine that you have breached these Terms or that suspension or termination is necessary to protect the Site, our personnel, or our other users. Sections of these Terms that by their nature should survive termination will so survive, including without limitation Sections 1, 5, 6 (with respect to information already submitted), 8 through 16, and 18 through 22.

13. Disclaimer of Warranties

THE SITE AND THE CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MOSAIC SINGULARITY DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THOSE ARISING FROM A COURSE OF DEALING, USAGE, OR TRADE PRACTICE. MOSAIC SINGULARITY DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT THE CONTENT WILL BE ACCURATE OR CURRENT.

Some jurisdictions do not allow the exclusion of certain implied warranties, so the exclusions in this Section 13 may not apply to you in full. Where such exclusions are not permitted, our warranties are limited to the minimum extent required by applicable law.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MOSAIC SINGULARITY, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT MOSAIC SINGULARITY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL THE AGGREGATE LIABILITY OF MOSAIC SINGULARITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100).

The limitations in this Section 14 do not apply to liability that cannot be limited under applicable law, including liability arising from gross negligence, willful misconduct, fraud, or, where applicable, personal injury caused by negligence. If you are a consumer in a jurisdiction that prohibits or restricts limitations of liability, the foregoing limitations apply only to the extent permitted by the law of that jurisdiction.

15. Indemnification

You agree to defend, indemnify, and hold harmless Mosaic Singularity, its Affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, demands, actions, losses, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your access to or use of the Site; (b) your breach of these Terms; (c) your violation of any law or of the rights of a third party; or (d) any Submission you provide. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense.

16. Governing Law and Venue

These Terms and any dispute arising out of or related to them or to your use of the Site are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Subject to Section 17, you and Mosaic Singularity submit to the exclusive jurisdiction of the courts located in the City of Toronto, Ontario, Canada for any dispute arising out of or related to these Terms or the Site.

17. Dispute Resolution

17.1 Informal Resolution

Before filing any formal claim, you agree to first contact us at legal@mosaicsingularity.com and attempt in good faith to resolve the dispute informally for a period of at least thirty (30) days.

17.2 Forum for Canadian Users

If you are domiciled in Canada, any dispute that is not resolved informally must be brought exclusively in the courts located in the City of Toronto, Ontario, Canada. You and Mosaic Singularity each waive any objection to venue or to the jurisdiction of those courts.

17.3 Forum for Non-Canadian Users

If you are domiciled outside Canada, you agree that, at Mosaic Singularity's election, any dispute that is not resolved informally will be resolved either (a) in the courts located in the City of Toronto, Ontario, Canada, or (b) by binding individual arbitration administered by ADR Chambers under its arbitration rules, with the seat of arbitration in Toronto, Ontario, in the English language. Judgment on any award rendered may be entered in any court of competent jurisdiction.

17.4 Class and Representative Action Waiver

To the fullest extent permitted by applicable law, you and Mosaic Singularity each agree that any dispute will be resolved on an individual basis and that neither party may bring or participate in any class, collective, consolidated, or representative proceeding. If a court of competent jurisdiction determines that this waiver is unenforceable as to any claim or in any forum, the unenforceable portion will be severed and the remaining portions will continue in effect.

17.5 Time to File

Any claim arising out of or related to these Terms or the Site must be commenced within one (1) year after the cause of action accrues, except where a longer limitation period is required by mandatory applicable law.

18. Export Control and Sanctions

You represent and warrant that you are not located in, ordinarily resident in, or a national of any country or territory that is the subject of comprehensive trade sanctions administered by the Government of Canada, the United States, the European Union, or the United Kingdom, and that you are not on any restricted-party list maintained by those authorities. You agree to comply with all applicable export control and sanctions laws in connection with your use of the Site.

19. Force Majeure

Mosaic Singularity will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including without limitation acts of God, natural disasters, war, terrorism, civil unrest, pandemics, governmental orders, labour disputes, denial-of-service attacks, internet or telecommunications failures, or failures of third-party hosting or service providers.

20. Notices

Notices to Mosaic Singularity must be sent in writing to legal@mosaicsingularity.com with a copy to Mosaic Singularity Inc., 201 King Street, London, Ontario, N6A 1C9, Canada, marked to the attention of the Legal Department. Notices we send to you may be sent to the email address most recently provided to us or by posting on the Site, and will be deemed received upon transmission or posting.

21. Assignment

You may not assign or transfer these Terms or any of your rights or obligations under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets. Any assignment in violation of this Section is void.

22. General Provisions

22.1 Entire Agreement

These Terms, together with the Privacy Policy and the Cookie Policy, constitute the entire agreement between you and Mosaic Singularity with respect to the Site and supersede all prior or contemporaneous communications.

22.2 Severability

If any provision of these Terms is held to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

22.3 No Waiver

No failure or delay by Mosaic Singularity to exercise any right under these Terms will operate as a waiver of that right.

22.4 No Third-Party Beneficiaries

These Terms do not and are not intended to confer any rights or remedies on any third party.

22.5 Independent Contractors

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Mosaic Singularity.

22.6 Electronic Communications and Signatures

You consent to receive communications from us in electronic form and agree that electronic agreements, notices, and other communications satisfy any legal requirement that they be in writing or signed, including under the Electronic Commerce Act, 2000 (Ontario) and any other applicable electronic-signature legislation.

22.7 Language

The parties have requested that these Terms and all documents and notices related to them be drawn up in the English language. Les parties ont demandé que la présente entente et tous les documents et avis qui s'y rapportent soient rédigés en langue anglaise.
